Terms of Service

Clear terms for responsible use of the StrataFleet platform.

These Terms of Service govern access to and use of the StrataFleet platform, websites, applications, services, and related offerings provided by StrataData Technologies Inc.

Operational Intelligence Customer Data Ownership Governance & Accountability

1. Acceptance of Terms

By accessing or using StrataFleet, you agree to be bound by these Terms of Service and all applicable laws and regulations.

If you do not agree with these Terms, you may not access or use the Platform.

2. Definitions

Platform means the StrataFleet software platform and related services.

Customer means an organization subscribing to the Platform.

User means an individual authorized by a Customer to access the Platform.

Customer Data means information entered into, uploaded to, generated by, or processed through the Platform by a Customer or its Users.

Services means software, support, hosting, reporting, and related offerings provided by StrataData Technologies Inc.

Founder Beta Program means any early access, pilot, beta, or founder-participation offering provided by StrataData Technologies Inc.

3. Eligibility & Account Responsibilities

Users must be authorized by their organization to access the Platform.

Customers are responsible for managing user access, permissions, role assignments, and account administration.

Users are responsible for maintaining the confidentiality of account credentials and reporting unauthorized access immediately.

4. Subscription Plans, Billing & Payment

StrataFleet may offer Starter, Professional, Enterprise, Custom, Founder Beta, or other subscription plans.

Subscription fees are billed in advance according to the selected subscription agreement.

Failure to maintain payment obligations may result in suspension or termination of services.

Certain subscription plans may contain limits relating to:

  • Assets
  • Users
  • Modules
  • Storage
  • Service Levels

5. Founder Beta Program

Founder Beta services may contain features that are under active development and subject to modification without notice.

Certain functionality may be experimental, incomplete, or unavailable during beta periods.

Founder Beta pricing and participation terms remain subject to any specific agreements entered into between the Customer and StrataData Technologies Inc.

6. Acceptable Use Policy

Users may not:

  • Attempt unauthorized access to the Platform
  • Share user credentials
  • Reverse engineer platform functionality
  • Circumvent security controls
  • Upload malicious software or content
  • Use the Platform for unlawful activities
  • Interfere with Platform operations

7. Customer Data Ownership

Customer organizations retain ownership of Customer Data.

Customer Data includes, but is not limited to:

  • Inspection records
  • Maintenance records
  • Vehicle and equipment records
  • Images and uploaded files
  • Reports and documentation
  • Operational records

StrataData Technologies Inc. does not claim ownership of Customer Data.

8. Privacy & Data Protection

Use of the Platform is also governed by the StrataFleet Privacy Policy.

StrataData Technologies Inc. implements reasonable administrative, technical, and organizational safeguards designed to protect customer information.

9. Operational & Compliance Disclaimer

StrataFleet is an operational fleet management, inspection documentation, maintenance tracking, reporting, and compliance workflow platform.

StrataFleet is not a substitute for professional judgment, legal advice, management oversight, or regulatory compliance programs.

Customers remain solely responsible for compliance with all applicable laws, regulations, standards, contractual obligations, and internal organizational policies.

10. GPS & Location Services

Certain platform functionality may utilize GPS or location information when enabled by the Customer organization.

Customers are responsible for obtaining any required notices, permissions, or consents relating to the use of location-enabled services.

StrataFleet is not intended to function as an employee surveillance platform.

11. Service Availability & Support

StrataData Technologies Inc. will make commercially reasonable efforts to maintain service availability.

However, uninterrupted or error-free operation cannot be guaranteed.

Support services may be provided according to the Customer's subscription plan and service agreement.

12. Support Access & Governance

Authorized support personnel may access customer environments when reasonably necessary to:

  • Provide support
  • Troubleshoot issues
  • Perform requested services
  • Maintain platform integrity

Support access activities may be logged and audited.

13. Intellectual Property

StrataFleet, StrataCore, StrataData Technologies Inc., related software, branding, documentation, designs, and proprietary content remain the intellectual property of StrataData Technologies Inc.

14. Limitation of Liability

To the maximum extent permitted by law, StrataData Technologies Inc. shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from use of the Platform.

Customers remain responsible for maintaining copies of critical business records and information.

15. Suspension & Termination

StrataData Technologies Inc. may suspend or terminate access where reasonably necessary due to:

  • Non-payment
  • Security concerns
  • Misuse of the Platform
  • Legal requirements
  • Violation of these Terms

16. Changes to These Terms

StrataData Technologies Inc. may update these Terms from time to time.

Continued use of the Platform after updates become effective constitutes acceptance of the revised Terms.

17. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Ontario, Canada, without regard to conflict of law principles.
